Governing Participation in Online Events Organized by Pepperl+Fuchs

1 Scope of Services
1.1 The following General Terms and Conditions apply to participation in online summits (hereinafter referred to as “events”), offered and conducted by Pepperl+Fuchs SE and Pepperl+Fuchs’ subsidiaries (hereinafter referred to as “Pepperl+Fuchs”).
1.2 The scope of the service is determined by the description of the respective event, which is available on Pepperl+Fuchs hosted website (e.g., your-future-automation.com).
1.3 The services offered by Pepperl+Fuchs are intended exclusively for companies and traders. Consumers within the meaning of § 13 BGB are obligated to indicate that they are consumers when registering. If this information is not provided and Pepperl+Fuchs is unable to identify that a participant is a consumer, the participant will be treated as a trader. Contracts with and registrations by consumers are only valid if Pepperl+Fuchs expressly consents to the consumer participating.
2 Conclusion of Contract and Registration
2.1 The events offered by Pepperl+Fuchs do not constitute a legally binding offer, but a request to register.
2.2 The contract is concluded when a participant registers for an event via the online forms provided on our landing pages and microsites and Pepperl+Fuchs confirms the participation in the event, thus accepting the offer from the participant. Pepperl+Fuchs is entitled to deny registration for an event without giving reasons.
2.3 The online forms must be completed truthfully and in full with the information required for registration and must be submitted to Pepperl+Fuchs. Pepperl+Fuchs will send participants a confirmation of registration by email. If the data that a participant has specified during registration changes, the participant must immediately inform Pepperl+Fuchs of this in text form (e.g., email, update profile page, fax).
2.4 Pepperl+Fuchs stores the data provided by the participant when registering in compliance with data protection regulations; for further details, refer to the respective privacy policies.
3 Obligations to Cooperate for Participants in Events
3.1 To participate in an event, participants must meet the technical requirements specified by Pepperl+Fuchs (e.g., stable internet connection, current browser version, speaker or headset, Adobe Flash Player). Participants are responsible for checking and ensuring that they can meet the technical requirements. Any failure by participants to fulfill the technical requirements, including during the event, does not release participants from the contractual payment obligation if any event fees are charged.
3.2 The access details for the event will be sent prior to the event/upon registration to the email address specified by participants during registration. Participants are obliged to store the access details carefully, not to share them with unauthorized third parties, and not to allow unauthorized third parties to access them.
4 Cancellation of Events and Exclusion
4.1 Pepperl+Fuchs is entitled to cancel events for economic or organizational reasons. There is no right to execution. Participants will be informed of any cancellation immediately by email. Participants are not entitled to make any claims against Pepperl+Fuchs.
4.2 Pepperl+Fuchs is entitled to block participants from accessing any event if these Terms and Conditions are violated.
5 Copyright and Rights of Use
5.1 The content of all events and all materials (documents, provided recordings, etc.) are the intellectual property of Pepperl+Fuchs and are protected by copyright. They may not be published, recorded, distributed, or reproduced by participants, or shared by participants with third parties. Participants undertake to protect the copyrights and to use the materials only for personal purposes and within the scope for which it were provided.
5.2 The right to participate in the respective event includes the right of participants to access the available content and to use it for training purposes. The right is limited in time to the duration of the event and may not be transferred to a third party.
6 Warranty and Liability
Pepperl+Fuchs plans the events with the diligence of a prudent business person and conducts them accordingly. Pepperl+Fuchs assumes no liability for the correctness, completeness, or accuracy of the content provided during events, or for the attainment of a purpose or end result desired by participants by virtue of participating in an event. The description of services relating to the event contained in the respective descriptions or otherwise made known to participants does not constitute a guarantee or assurance of the contents of the event.
7 Final Provisions
7.1 The place of performance and jurisdiction is Mannheim if the participant is a trader, a legal person under public law, or a special fund under public law, or if the participant does not have a general place of jurisdiction in Germany. This will also apply if participants move their seat or habitual residence out of the jurisdiction of the German Code of Civil Procedure after conclusion of the contract or if their seat or habitual residence is not known at the time when the action is filed.
7.2 These Terms and Conditions are subject to German law to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods unless mandatory consumer protection regulations prevent this.
7.3 If individual provisions of these Terms and Conditions prove to be invalid, the validity of the remaining provisions will not be affected.
